Terms and Conditions

Last updated:

1. Acceptance and Parties

These Terms and Conditions (the "Terms") govern your access to and use of the RCA Auto Broker platform, which includes the website rcaautobroker.com, the web application app.rcaautobroker.com, the mobile app and any related services (together, the "Platform").

The Platform (the software, website and mobile app) is developed and operated by Car Dealer Academy LLC. The automotive brokerage service described in these Terms is provided by RCA Auto Sales LLC, under the RCA Auto Broker brand, using this Platform. In these Terms, "RCA," "we," "us" and "our" refer to both companies, as applicable to each one's activities, and "you" refers to the person using the Platform.

By creating an account, clicking an acceptance button, placing a bid or using the Platform in any way, you confirm that you have read, understood and accepted these Terms in full, together with the Privacy Policy, the Payments and Refunds Policy, the Cookie Policy and the Website Terms of Use, all of which form part of these Terms. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company, you represent that you have authority to bind it, and "you" also includes that company.

These Terms are a translation adapted from the Spanish original. In case of any discrepancy, the Spanish version prevails.

2. Definitions

For purposes of these Terms:

  • Auction: third-party vehicle auction platforms in the United States, such as Copart and IAAI, and any other auction RCA may make available in the future.
  • Lot: each vehicle offered at an Auction, together with the information the Auction publishes about it.
  • Assisted bid: a bid RCA places at an Auction on your behalf and at your direction, following the instructions and maximum amount you approve on the Platform.
  • Security Deposit: the balance you load into your account as a guarantee of your commitment to buy, governed by the Payments and Refunds Policy.
  • Broker fee: RCA's fee for each purchase won through an Assisted bid.
  • Third-party providers: independent companies the Platform relies on, such as the Auctions, auction data providers, payment processors, email, SMS and WhatsApp providers, hosting, database, carriers and customs brokers.

3. What RCA Auto Broker Is — and Isn't

RCA Auto Broker is an automotive brokerage service. We help you buy vehicles at US auctions and handle shipping and export, title and paperwork services, customs clearance, vehicle history reports and related calculation tools.

RCA does not own or sell the auctioned vehicles. We act solely as an intermediary between you and the Auctions. The seller of each Lot is a third party (insurers, lenders, dealers or other sellers), and the terms of each sale are set by the Auction.

RCA has no affiliation, sponsorship, partnership or endorsement from Copart, IAAI or any other Auction. Copart, IAAI and any other marks mentioned belong to their respective owners and are referenced only to identify the platforms where purchases take place. RCA does not act on behalf of those companies and cannot bind them.

RCA does not provide legal, tax, accounting, financial, mechanical or investment advice. Any comment, recommendation or estimate from our team is for guidance only and is not a substitute for advice from an independent professional.

4. Eligibility, Registration and Your Account

You must be at least 18 years old and legally able to enter into contracts to use the Platform. You must register with true, complete and current information and keep it up to date.

You are solely responsible for keeping your login credentials confidential and for all activity under your account, including any bids placed from it. You must notify us immediately of any unauthorized use or suspected breach. RCA is not liable for losses resulting from your sharing your credentials, failing to protect them or failing to notify us promptly.

Each person may hold only one personal account unless RCA expressly allows otherwise (for example, team members on a Dealer account). We may refuse a registration or suspend an account when information is false, incomplete or suspicious.

5. Identity Verification

Certain services, particularly Assisted bids and some customs procedures, require verifying your identity with a valid government-issued ID. RCA may reject a verification that does not meet the requirements, request reasonable additional documents, or temporarily suspend access to those services until verification is complete.

You represent that all documents and information you provide are genuine, your own and current. Submitting forged documents, or someone else's documents without their permission, is grounds for immediate account closure, in addition to any legal action available.

6. Plans and Subscriptions

The Platform offers the following plans:

  • Free ($0): limited access — support, basic tools and viewing auctions without bidding.
  • Pro ($37/month or $310/year): full auction access, vehicle history reports with a monthly quota included, shipping and the plan's other features.
  • Dealer ($97/month or $815/year): everything in Pro, a larger report quota, access to the CRM module and $50 off the Broker fee on every purchase made through an Assisted bid.

Each plan's features, quotas and limits are as described on the Platform. The prices shown on the Platform at the time you subscribe are the prices that apply, and they prevail over any other price published on the website, social media, ads or marketing materials. Certain founding accounts keep their legacy rate permanently as long as their subscription stays active without interruption.

Auto-renewal, cancellation, failed payments and refunds are governed by the Payments and Refunds Policy.

7. Auctions, Bidding and Broker Fees

To place an Assisted bid, you must first sign the bid and deposit agreement for that bid and have a sufficient Security Deposit balance. By submitting a bid, you instruct RCA to bid on your behalf up to the maximum amount you set, and you agree to pay the full price if the bid wins.

RCA will make reasonable efforts to place each bid according to your instructions, but does not guarantee that any bid will be placed, accepted or recorded on time, or that it will win. Auctions may cancel lots, change dates, reject bids, require seller approval or change their rules without notice.

The Broker fee for each purchase won depends on the final sale price:

  • $250 if the final price is up to $5,000.
  • $350 if the final price is $5,001 to $10,000.
  • $500 if the final price is $10,001 to $20,000.
  • $700 if the final price is $20,001 or more.

Dealer customers receive $50 off per purchase, and founding members pay the special rate in effect for that category. The applicable tiers are those published on the Platform at the time you bid.

Once you win an auction, the purchase is final: no cancellations, change-of-mind returns or vehicle returns are accepted, because the sale is conducted by a third party outside our control. Auction fees, storage, shipping, paperwork, duties and taxes are in addition to the lot price and the Broker fee.

If the seller makes a counteroffer on a bid already submitted, you may accept it, keep your original bid or propose your own counteroffer within the limits the Platform shows you. While that negotiation is open, the bid remains active and your deposit stays on hold.

If you do not pay for a won purchase within the stated deadline, you are responsible for all fees, late-payment penalties, storage and losses imposed by the Auction or incurred by RCA, and RCA may apply your Security Deposit to cover them, as set out in the Payments and Refunds Policy.

8. Security Deposit

Each bid places a hold on your available balance equal to the greater of $1,000 or 10% of your maximum bid. The deposit is your money and is 100% refundable, except for the card processing fee when you pay by card. If your bid is outbid, canceled or expires, the held amount returns to your balance at no cost.

The full Security Deposit rules — funding, refunds, verification and fraud prevention, chargebacks and indemnification — are set out in the Payments and Refunds Policy, which forms part of these Terms.

9. Vehicle Information and Due Diligence

The description, photos, condition, damage, title type, mileage, keys, run-and-drive status, history and any other data about a Lot come from the Auction or third-party providers, not from RCA. RCA does not physically inspect vehicles before auction and does not guarantee the condition, history, accuracy or completeness of that information.

Vehicle history reports are based on third-party records that may be incomplete, outdated or inaccurate.

You alone are responsible for doing your own due diligence before bidding: reviewing the photos and published information, checking history reports, considering possible hidden damage and, if you wish, arranging an independent inspection where the Auction allows it. Auction vehicles are sold "as is," with all faults, visible or not.

RCA is not liable for differences between the published information and the vehicle's actual condition, or for mechanical, structural, title or registration problems that were not evident from the Auction's information.

10. Estimates, Calculators and Taxes

Tax and budget calculators, shipping quotes and any cost estimate shown on the Platform or given by our team are informational references, not binding quotes or professional advice. Actual amounts may differ due to changes in rates, Auction fees, exchange rates, routes, tariff classification or other factors.

For imports into the Dominican Republic, the final amount of duties, ITBIS (VAT), first-registration taxes and other charges is determined by the Dominican Customs Agency (DGA) and other competent authorities, not by RCA. RCA is not responsible for differences between our estimates and the amounts assessed by those authorities.

You use these tools at your own risk.

11. Shipping, Customs and Paperwork

Delivery times are estimates and may vary due to weather, carrier and vessel availability, inspections, port congestion, customs or other causes beyond our control. RCA is not responsible for delays caused by third parties or by force majeure. Shipping costs are calculated based on the route, vehicle type and the conditions stated when the order is created.

Carriers, shipping lines and customs brokers are independent companies. Claims for damage in transit are handled under those third parties' coverage and terms; RCA will reasonably assist you with the process but assumes no liability of its own for such damage unless the law provides otherwise.

For customs clearance, you may use your own consignee information or, in certain cases, the consignee option offered by the Platform. RCA does not guarantee processing times by customs authorities.

Title and paperwork services are subject to availability and to RCA's approval for each account. The timing and outcome of those procedures depend on the relevant authorities and entities.

12. Technical Failures and Service Availability

The Platform depends on software, networks and Third-party providers that can fail. You understand and agree that the Platform may be unavailable, slow or contain errors at any time, and that this is an inherent risk of any digital service, especially when taking part in real-time auctions.

To the maximum extent permitted by applicable law, RCA is not liable for any loss or damage caused, in whole or in part, by:

  • Outages, interruptions, slowdowns, scheduled or emergency maintenance, updates or downtime of the Platform.
  • Software bugs, software or hardware failures, or accidental loss, corruption or deletion of data.
  • Delays, errors, omissions or outdated data in auction information supplied by third parties (for example, auction data providers, Copart or IAAI), including dates, times, prices, photos, condition or availability of lots.
  • Failures of payment processors, banks, email, SMS or WhatsApp providers, hosting, database, internet service providers or telecommunications networks.
  • Bids that are not placed, are placed late, are recorded for a different amount or are lost as a result of technical failures of RCA, Third-party providers, the Auctions, or the user's own connection, device or browser.
  • Notifications, alerts or auction reminders that do not arrive, arrive late or contain errors.
  • Cyberattacks, viruses, unauthorized access, denial-of-service attacks or other security incidents, provided RCA has maintained reasonable security measures.

Pricing errors. If, because of a software, data or human error, the Platform displays an obviously incorrect price, fee, commission, tax or total (for example, a plan shown at $0 that should cost $37, or a calculation with a misplaced decimal point), that price is not binding on RCA. RCA may correct it at any time, even after you have confirmed a transaction, and will give you the option to proceed at the correct price or cancel and receive a refund of what you paid for that item.

Your connection is your responsibility. You are responsible for having a suitable device, browser and internet connection, and for submitting your bids well before each auction closes. We recommend not leaving your bids until the last few minutes.

Excluded losses. In no event will RCA be liable for lost opportunities, vehicles you were unable to buy, price differences versus another auction, unrealized profits or resales, or the outcome of any auction, where these result from a technical failure.

RCA's sole obligation. In the event of a technical failure, RCA's sole obligation is to use reasonable efforts to restore the service within a reasonable time and, where possible, to inform affected users.

Your deposit is protected. A technical failure on RCA's side will never cause you to lose your Security Deposit: if a bid could not be placed or was canceled because of a technical failure on RCA's side, the held amount returns to your available balance under the deposit rules. Nothing in this section obligates you to pay for a vehicle you did not win.

Any liability that cannot be excluded by law is subject to the cap in Section 14.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform and all services, content, tools and information are provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or availability.

RCA does not warrant that the Platform will operate uninterrupted, on time, securely or error-free; that defects will be corrected; that the Platform or its servers are free of viruses or other harmful components; or that any results obtained will be accurate or reliable. RCA does not guarantee any auction outcome, any savings compared with other buying channels, or the resale of any vehicle.

14. Limitation of Liability

To the maximum extent permitted by applicable law, RCA and its members, officers, employees, agents, contractors and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, data or goodwill, even if advised of the possibility of such damages.

RCA's total aggregate liability for any claim relating to the Platform, the services or these Terms, on any legal theory (contract, tort, negligence or otherwise), will not exceed the greater of: (a) the total fees you paid to RCA during the 12 months before the event giving rise to the claim, or (b) one hundred US dollars (USD $100). For purposes of this calculation, vehicle prices, Auction fees, shipping, taxes and Security Deposit funds are not fees paid to RCA; disputes about the Security Deposit are subject to their own cap in the Payments and Refunds Policy.

These limitations are an essential part of the agreement between you and RCA and apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions; in that case, they apply to the maximum extent the law permits. Nothing in these Terms limits RCA's liability for its own fraud or willful misconduct where the law does not allow it.

15. Force Majeure

RCA is not liable for any failure or delay caused by events beyond its reasonable control, including without limitation: natural disasters, hurricanes, storms, earthquakes, floods, fires, epidemics and pandemics, war, terrorism, civil unrest, strikes or work stoppages, acts or restrictions of governments and authorities, changes in laws or regulations, customs and port delays or closures, lack of vessel space, widespread internet, power or telecommunications failures, cyberattacks, and changes, suspensions or decisions by third-party platforms (such as the Auctions, data providers or payment processors), including changes to their rules, pricing, access terms or technical interfaces.

For as long as the force majeure event lasts, RCA's affected obligations are suspended and deadlines are extended by a reasonable period.

16. Indemnification

You agree to defend, indemnify and hold harmless Car Dealer Academy LLC, RCA Auto Sales LLC and their members, officers, employees, agents and representatives from any claim, demand, fine, chargeback, loss, damage, cost or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms or of the Auctions' rules; (c) your violation of any law or third-party right; (d) any information or documents you provide; (e) the unlawful, fraudulent or unauthorized origin of any funds or payment methods you use; or (f) the use, import, registration or resale of any vehicle you purchase.

17. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose, fraud or money laundering, or to buy vehicles in the name of others without their knowledge.
  • Scrape, crawl or otherwise extract data by automated means, or use bots, scripts or any automated means to access the Platform, place bids or copy content, without RCA's written permission.
  • Reverse engineer, decompile, disassemble or attempt to obtain the Platform's source code.
  • Attempt to gain unauthorized access to accounts, systems, databases or restricted areas, probe for vulnerabilities, or interfere with the Platform's security or operation.
  • Manipulate the bidding, deposit or payment systems, or bid without a genuine intention to buy.
  • Abuse forms, chat or support (spam, bulk messages, offensive content, threats or impersonation).
  • File chargebacks or bank disputes in bad faith over legitimate charges.
  • Resell, sublicense or share access to your account or plan with others.
  • Use the Platform to build a competing product or service.

18. Suspension, Termination and Inactive Accounts

You may cancel your subscription or delete your account at any time from your profile. Account deletion is permanent and erases your personal data, except data we are legally required to keep.

RCA may suspend, limit or terminate your access, in whole or in part, with or without prior notice, if you breach these Terms, if there is a reasonable suspicion of fraud or unlawful activity, if required by law or an authority, or if your use puts RCA, other users or third parties at risk.

A Free plan account with no sign-in for 60 days receives email reminders and, if it remains unused, is deactivated (a reversible lock that does not delete data); you can reactivate it by contacting support. An account is never deleted or locked because a subscription payment failed — it simply moves to the Free plan.

Payment obligations outstanding at the time of cancellation or suspension remain in effect, including auction purchases already won.

19. Referral Program

Referral partners earn a commission on subscription revenue (not other services) generated by the customers they refer, at the percentage agreed when joining the program. Commissions are calculated monthly and paid within 30 days after each month closes (Net 30). RCA may withhold commissions generated through fraud, self-referrals or deceptive practices, and may adjust or discontinue the program with reasonable notice to active partners.

20. Intellectual Property

All Platform content — software, code, design, text, graphics, logos, videos, databases and the RCA Auto Broker brand — is owned by Car Dealer Academy LLC, RCA Auto Sales LLC or their licensors and is protected by intellectual property laws. RCA grants you a limited, personal, revocable, non-exclusive and non-transferable license to use the Platform in accordance with these Terms. Any reproduction, distribution, modification or commercial use without written permission is prohibited.

Third-party marks, including Copart and IAAI, belong to their respective owners. If you send us feedback or suggestions, we may use them freely without any obligation to you.

22. Electronic Communications and Records

You agree to transact and receive communications electronically. Agreements, acceptances, electronic signatures, notices, receipts and records we create electronically have the same validity as if they were in writing and signed by hand, and you waive any requirement for paper records to the extent permitted by law. RCA's electronic records (including records of bids, acceptances and payments) are presumed accurate unless proven otherwise.

By registering, you agree to receive operational communications by email, in the app and, when you provide your phone number, by SMS and WhatsApp: confirmations, order status updates, auction alerts and account notices. Message and data rates may apply. You can opt out of SMS by replying STOP, except for essential account security notices. Marketing communications are governed by the Privacy Policy.

Notices from RCA are considered delivered when sent to the email address on your account or posted on the Platform. Notices to RCA must be sent to info@rcaautobroker.com.

23. Privacy

The processing of your personal data is governed by our Privacy Policy, and our use of cookies by our Cookie Policy, both of which form part of these Terms.

24. Changes

RCA may change these Terms at any time. Changes take effect when posted on the Platform with the updated date shown. We will notify you of material changes by email or on the Platform. Your continued use of the Platform after a change constitutes acceptance of the updated Terms. Bids and purchases already made are governed by the Terms in effect when they were submitted.

RCA may also modify, suspend or discontinue any feature or service of the Platform, in whole or in part.

25. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Dominican Republic, without regard to its conflict-of-law rules.

Before filing any claim, you agree to contact RCA support describing the issue, and both parties will negotiate in good faith for at least 30 days to try to resolve it. If it is not resolved within that period, the dispute will be submitted to the competent courts of the Dominican Republic, unless the parties agree in writing to an alternative dispute resolution mechanism.

To the extent permitted by law, any claim must be brought within one year after it arises, and claims will be brought individually, not as part of a class or representative action.

26. General Provisions

  • Severability: if any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary and the rest of these Terms will remain in effect.
  • No waiver: RCA's failure to enforce a right at any given time is not a waiver of that right.
  • Entire agreement: these Terms, together with the linked policies and any specific agreements you sign on the Platform (such as the bid and deposit agreement), are the entire agreement between you and RCA. In case of conflict, the specific agreement prevails for that transaction.
  • Assignment: you may not assign these Terms without RCA's written consent. RCA may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets.
  • Survival: the sections on outstanding payments, third-party information, technical failures, disclaimer of warranties, limitation of liability, indemnification, intellectual property and governing law survive termination of your account.
  • Relationship of the parties: nothing in these Terms creates a partnership, joint venture, employment or franchise relationship between you and RCA.
  • Language: these Terms were written in Spanish. In case of any discrepancy between this English version and the Spanish version, the Spanish version prevails.

27. Contact
